HODL House Terms and Conditions

Company Information

HODL House is a trade name and service mark of Jones Pierce Inc., a Georgia corporation. All references to "HODL House," "we," "us," or "our" throughout these Terms and Conditions refer to Jones Pierce Inc. Our principal place of business is located in Atlanta, Georgia, and we operate under the laws of the State of Georgia and the United States.

Scope of Services

1. Domestic and International Services: HODL House provides architectural consultation, Life Pattern Discovery, Manifest Chart development, and SiteFit analysis for properties located both within the United States and internationally.

2. Advisory Nature: Our services are strictly limited to architectural consultation, design services, and related advisory services. We expressly do not provide, and clients should not rely upon us for, legal, tax, financial, investment, real estate brokerage, or other professional services in any jurisdiction.

3. Local Compliance: While we provide design services for international properties, the client is responsible for ensuring all designs comply with local building codes, zoning requirements, and other regulations in the jurisdiction where the property is located.

Service Agreement

1. Governing Law: All service agreements between Jones Pierce Inc. d/b/a HODL House and clients are governed by the laws of the State of Georgia, USA, regardless of where the client or property is located.

2. Dispute Resolution: Any disputes arising from our services shall first be addressed through mandatory mediation in Atlanta, Georgia, under the rules of the American Arbitration Association. If mediation is unsuccessful, the parties agree to binding arbitration in Atlanta, Georgia. The prevailing party shall be entitled to recover reasonable attorneys' fees and costs.

3. International Collaboration: For projects outside the United States, HODL House may collaborate with local architects or engineers. The terms of such collaboration will be specified in the project agreement.

Bitcoin Payments

1. Payment Processing: We use Zaprite as our Bitcoin payment processor. All invoices will be issued in USD with an option to pay in Bitcoin at a 10% discount from the USD price.

2. Invoice Mechanism: When choosing to pay with Bitcoin, you will receive a Zaprite invoice via email containing a QR code and payment details. This invoice will remain valid for the period specified on the invoice (typically 15 minutes due to Bitcoin price volatility).

3. Exchange Rate: The Bitcoin amount due is calculated at the time you open the invoice using Zaprite's current exchange rate. The locked-in exchange rate is valid only for the duration specified on the invoice.

4. Payment Confirmation: Payments through Zaprite are confirmed on the Bitcoin network. Once your payment has received the required network confirmations, Zaprite will notify both parties that payment has been completed.

5. Payment Options: Through Zaprite, we accept payments via:

  • On-chain Bitcoin transactions

  • Lightning Network payments

  • Other methods as available through Zaprite's platform

6. Failed or Expired Payments: If a payment expires before completion, a new invoice must be generated, which may reflect an updated exchange rate. Partial payments that do not meet the full invoice amount will require additional payment to complete the transaction. Any partial payments received may be subject to additional processing fees and will be converted at the exchange rate in effect at the time of the subsequent payment.

7. Refunds: Any refunds will be processed in the same currency as the original payment. For Bitcoin payments, refunds will be calculated based on the USD value of services at the time of the refund, converted to Bitcoin at the current exchange rate.

8. International Payment Regulations: Clients are responsible for complying with all applicable laws regarding Bitcoin transactions in both their jurisdiction and the jurisdiction of their intended property.

International Property Considerations

1. No Legal Representation: Jones Pierce Inc. d/b/a HODL House does not provide legal representation or advice regarding property acquisition in foreign countries. Clients should engage qualified local legal counsel for such services.

2. Local Regulations Disclaimer: While we strive to consider local building practices in our designs, we make no warranties regarding compliance with local building codes, permitting requirements, or other regulations. Verification of compliance remains the client's responsibility.

3. Site Visits: For international properties, any site visits by HODL House staff will be subject to additional fees and terms as specified in the project agreement.

4. Local Professionals: When necessary for project completion, the engagement of local architects, engineers, or other professionals in the property's jurisdiction will be at the client's expense, whether arranged by the client or by HODL House on the client's behalf.

Intellectual Property Rights

1. Ownership of Designs: All designs, documents, and other deliverables created by Jones Pierce Inc. d/b/a HODL House remain our intellectual property until final payment is received, at which point limited usage rights transfer to the client as specified in the service agreement.

2. International Copyright: Our designs are protected by US copyright law and applicable international copyright conventions regardless of the property's location.

Limitation of Liability

1. Geographic Limitations: Jones Pierce Inc. d/b/a HODL House's liability is limited to the amount paid for our services, regardless of where the property is located or where damages may occur.

2. Currency for Damages: Any damages awarded shall be calculated and paid in USD, regardless of the original payment method or the country where the property is located.

3. Professional Liability: We maintain professional liability insurance covering our operations in the United States. For international projects, our liability is explicitly limited to the scope defined by our US-based insurance coverage. In no event shall our liability exceed the total amount paid for our services or be extended to consequential, indirect, special, punitive, or incidental damages, regardless of the location of the property or the jurisdiction where any claim may arise.

Privacy and Data Protection

1. Cross-Border Data Transfer: By engaging our services, clients consent to the storage and processing of their personal information in the United States, which may have different data protection standards than their home country or the country of their intended property.

2. Applicable Laws: We comply with applicable US data protection laws but make no representations regarding compliance with foreign data protection regimes.

Modifications to Terms

Jones Pierce Inc. d/b/a HODL House reserves the right to modify these terms at any time. Changes will be effective immediately upon posting to the website or communication to clients. Continued use of our services after such notice constitutes acceptance of the modified terms. For existing projects, the terms in effect at the time of contract signing will govern unless otherwise agreed in writing.
